1. Agreement to Terms

By accessing and using the website and services of DINGX LLC (“Dageno,” “Services”), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our Services.

2. Definitions

  • "Service": Our platform for AI visibility, brand monitoring, and SEO analytics
  • "User": Any individual or entity accessing our Services
  • "Account": Your registered account on our platform
  • "Content": Data, reports, insights generated by our Services

3. Use License

We grant you a limited, non-exclusive, revocable license to use our Services for lawful business purposes only. You agree not to:

  • Reproduce, duplicate, copy, or resell our Services or Content
  • Attempt to gain unauthorized access to our systems
  • Violate any laws, regulations, or third-party rights
  • Use our Service for competitive analysis without permission
  • Scrape, crawl, or harvest data without authorization
  • Submit malware, viruses, or harmful code
  • Reverse engineer or decompile our software

4. Subscription & Pricing

4.1 Billing

  • Monthly or annual billing cycles (as selected at signup)
  • Payments are due upfront
  • All prices are in USD unless otherwise stated
  • Taxes and fees (where applicable) are additional

4.2 Payment Methods

  • Credit cards, bank transfers, or other accepted methods
  • Declined payments may result in service suspension
  • You are responsible for keeping payment information current

4.3 Refunds

New subscribers are eligible for a full refund within fourteen (14) calendar days of the initial purchase for monthly or annual plans, subject to the Refund Policy. Renewal charges are non-refundable unless required by applicable law. Please see our Refund Policy for full details.

4.4 Price Changes

  • We may change pricing with 30 days' written notice
  • Changes apply to renewals, not active subscriptions

5. Free Trial & Promotional Offers

  • Free trials are limited to one per user/organization
  • Trial access is at our discretion and may be revoked
  • Continued access requires subscription payment
  • Promotional codes are non-transferable and non-stackable

6. Acceptable Use Policy

You agree not to use our Services to:

  • Monitor competitors without their consent (unless permitted by law)
  • Track individuals' personal searches or data
  • Violate privacy laws or regulations
  • Create misleading or false brand claims
  • Infringe on intellectual property rights
  • Harass, threaten, or abuse others
  • Transmit spam, malware, or illegal content
  • Interfere with system functionality

Violations may result in immediate account termination without refund.

7. Intellectual Property Rights

7.1 Our IP

All content, software, features, and functionality on our platform are owned by Dageno or our licensors. You may not reproduce or distribute without permission.

7.2 Your Data

You retain ownership of your data. By using our Services, you grant us a license to process, analyze, and display your data to provide our Services.

7.3 User Content

Any feedback, suggestions, or content you provide may be used by us without compensation or attribution.

8. Limitations of Liability

8.1 Disclaimer

Our Services are provided "AS IS" without warranties of any kind, express or implied. We do not guarantee:

  • Uninterrupted or error-free service
  • Accuracy of all data or insights
  • Fitness for a particular purpose
  • Freedom from viruses or security issues

8.2 Limitation of Damages

To the maximum extent permitted by law, we are not liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits, revenue, or data
  • Business interruption or loss of business opportunity
  • Damages exceeding the fees you paid in the last 12 months

8.3 Force Majeure

We are not liable for service disruptions due to events beyond our control (natural disasters, wars, pandemics, etc.).

9. Indemnification

You agree to indemnify and hold harmless Dageno, its officers, and employees from any claims, losses, or damages arising from:

  • Your violation of these Terms
  • Your misuse of our Services
  • Your violation of applicable laws
  • Your data or content infringing on third-party rights

10. Limitation of Service

10.1 Service Level

We aim to maintain 99% uptime. Scheduled maintenance may temporarily affect availability. We are not liable for uptime failures.

10.2 Data Limitations

  • Free plans: Limited data retention (30 days)
  • Paid plans: Standard retention per tier
  • Backups are not guaranteed

10.3 API Rate Limits

  • API calls are subject to rate limits per plan tier
  • Excessive usage may result in temporary throttling or suspension

11. Account Termination

11.1 User Termination

You may cancel your account anytime by contacting support. Upon cancellation:

  • Access to your Account terminates immediately
  • We retain data for 30 days, then delete
  • Refunds are subject to Section 4.3

11.2 We May Terminate

We may suspend or terminate your Account if:

  • You violate these Terms or our Acceptable Use Policy
  • You have unpaid invoices
  • You engage in illegal or harmful activity
  • Your Account poses a security risk

Termination may be immediate without notice in cases of severe violation.

12. Governing Law & Dispute Resolution

12.1 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware and the applicable federal laws of the United States, without regard to its conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, USA, and waive any objection to inconvenient forum.

12.2 Dispute Resolution

Informal Resolution: Prior to initiating any proceeding, you agree to first attempt to resolve the dispute informally by contacting us at legal@dageno.ai.

Arbitration: Any unresolved dispute shall be finally settled by binding arbitration administered by JAMS under its Commercial Arbitration Rules, with the seat of arbitration in the State of Delaware, USA. The arbitration shall be conducted in English on an individual basis only.

No Class Action: You hereby knowingly and voluntarily waive the right to participate in any class action, consolidated action, or representative proceeding against us, whether in litigation or arbitration.

13. Third-Party Services

We integrate with third-party services (Google, ChatGPT, Perplexity, Gemini). We are not responsible for:

  • Availability or performance of third-party services
  • Data practices or privacy policies of third parties
  • Changes to third-party APIs or features
  • Outages or service disruptions

14. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email or notice on our website. Continued use after updates constitutes acceptance.

15. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect.

16. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Dageno regarding your use of our Services.
